Terms of Use

Last updated

Summary

These terms are the agreement between you and us for using The Pact. We've tried to keep them short and in plain English. The most important part is the health disclaimer: The Pact helps you keep a commitment you've made with people you trust, but it isn't medical advice.

1.About these terms

The Pact (the website at thepact.lol (opens in a new tab) and our iOS, Android and desktop apps, together the "Service") is provided by Cohort Technologies Limited, a company incorporated in the Dubai International Financial Centre (DIFC), United Arab Emirates, registered at Level 1, Innovation One, DIFC, Dubai, United Arab Emirates ("we", "us", "our").

By creating an account or using the Service, you agree to these Terms of Use. If you don't agree, please don't use the Service. Our Privacy Policy explains how we handle your personal data and forms part of these terms.

2.Who can use The Pact

  • You must be 18 or older.
  • You must be able to form a binding contract and not be barred from using the Service under any law that applies to you.
  • You may have one account, for your own personal, non-commercial use.

3.What The Pact is

The Pact is a shared, mobile-first wellness app for small groups of two to eight people who agree to the same three commitments: low-carb eating with a maximum number of meals a day, a daily amount of exercise, and a regular fast. One person sets up a pact and invites the others. Members log their own days, see each other's progress in real time, send encouragement, and change shared goals only when everyone agrees.

The Pact deliberately doesn't track weight, calories or macros, rank people, or penalise missed days. It is a tool for keeping a commitment together, not a fitness programme, diet plan or medical service.

4.Health and medical disclaimer

The Pact is not medical advice

Nothing in The Pact, including its default goals, reminders, encouragement, meal plans or anything another member shares, is medical, nutritional or fitness advice, or a substitute for advice from a qualified health professional. We are not a healthcare provider and the Service doesn't diagnose, treat, monitor or prevent any condition.

Talk to a doctor or other qualified health professional before you change your diet, exercise or fasting, especially if you have a health condition, and before you rely on anything in the app.

Fasting and low-carb eating are not suitable for everyone. Don't fast, or only do so under medical supervision, if you:

  • are pregnant, trying to conceive or breastfeeding
  • have diabetes (type 1 or type 2) or problems controlling your blood sugar
  • have, or have had, an eating disorder or a difficult relationship with food
  • are under 18
  • take medication that needs to be taken with food or that affects blood sugar or blood pressure (for example insulin, sulfonylureas, SGLT2 inhibitors or some heart and blood pressure medicines)
  • have heart, kidney or liver disease, low blood pressure, gout, or are underweight or recovering from illness or surgery

Listen to your body. Stop exercising or fasting and seek medical advice if you feel unwell, faint, dizzy, short of breath, have chest pain or feel confused. You can pause your exercise or fasting target at any time in Settings, for any reason, without explaining why.

In an emergency, call your local emergency number straight away (in the UAE, 998 for an ambulance or 999 for police; 112 in the EU; 999 or 112 in the UK; 911 in the US and Canada). Don't use The Pact to seek help in an emergency; nobody monitors it.

You decide what to commit to and how to do it, and you are responsible for your own health choices. Other members are not health professionals, and anything they share (including meals and ingredients added to the meal plan) is their own and not checked by us. Always check ingredients for allergies and intolerances.

5.Your account

  • Give us accurate information when you sign up and keep your email address up to date; we use it for security alerts and account recovery.
  • Keep your password safe and don't share your account. If you sign in with Google, keeping your Google account secure is part of keeping your Pact account secure.
  • You're responsible for what happens under your account. Tell us straight away at support@thepact.lol if you think someone else has used it, and use Settings to change your password and sign out other devices.
  • We may ask you to verify your email address before you can use parts of the Service.

6.Pacts, owners and members

  • Size: a pact has up to eight members. In this version, you can belong to one pact at a time.
  • Owner: the person who creates a pact is its owner. The owner can remove members. If the owner leaves, ownership passes to the longest-standing remaining member. When the last member leaves, the pact is archived.
  • Shared decisions: any member can propose a change to the shared goals; it only takes effect when every current member agrees. Any member can edit shared things such as the pact name, the meal plan and the grocery list.
  • Leaving: you can leave a pact whenever you like. Please be kind when removing someone or leaving; the people in your pact are relying on each other.

7.Inviting people

You can invite people by email or by sharing an invite link. When you invite someone:

  • only invite people you know personally and who would expect to hear from you about The Pact;
  • make sure you're allowed to share their email address and name with us for this purpose;
  • don't use invitations to send spam, advertise, or contact people who have declined or asked not to be contacted;
  • treat invite links like a key: anyone with a link can use it to ask to join until it is used, withdrawn or expires (after 14 days).

We send at most one reminder per invitation. We may limit or stop invitations from an account that misuses them.

8.Your content and who sees it

"Your content" means everything you put into the Service: your logs, notes, reflections, profile photo, proposals, votes, meals, grocery items and invitations.

  • You own your content. We don't claim ownership of it.
  • Everything you record is visible to every member of your pact, in real time. Only share what you're comfortable sharing with them.
  • You give us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your content only as needed to run, secure and improve the Service for you and your pact, including showing it to your pact members, sending the emails and notifications you've chosen, and keeping backups. This licence ends when your content is deleted, except for backup copies, which are deleted on our normal schedule (see the Privacy Policy), and shared pact items that remain with your pact after you leave.
  • You promise you have the right to share your content and that it doesn't break these terms or anyone else's rights.
  • You can download your data at any time from Settings → Export your data.

9.Acceptable use

The Pact works because people trust each other. When you use it, please don't:

  • harass, bully, shame, threaten or pressure anyone, including about their body, eating or exercise;
  • encourage anyone to fast, restrict food or exercise in a way that could harm them;
  • share anything unlawful, hateful, sexually explicit or violent, or other people's private information without their permission;
  • upload a profile photo of someone else, or impersonate anyone;
  • use the Service for commercial purposes, advertising or spam, or to collect data about other users;
  • try to access accounts or pacts that aren't yours, probe or break our security, or get around rate limits;
  • interfere with or overload the Service, or use bots, scrapers or automated scripts;
  • copy, reverse-engineer or resell the Service, except where the law allows you to.

If someone in your pact makes you uncomfortable, you can leave the pact at any time, and the owner can remove members. You can also report it to us at support@thepact.lol.

10.A free service that will keep changing

The Pact is currently free. We're a small team and we will keep improving it, which means we may add, change or remove features. We'll give you reasonable notice of any change that significantly reduces what you can do, and if we ever decide to charge for something, we'll tell you clearly in advance; you'll never be charged without agreeing to it first.

We aim to keep the Service available, but we can't promise it will always be uninterrupted, error-free or available in every country. We may need to pause it for maintenance, security or reasons outside our control. If we ever decide to shut down The Pact, we'll give you at least 30 days' notice so you can export your data.

11.Our intellectual property

The Service, including its software, design, text, the name "The Pact", our logo and our app icon, belongs to us or our licensors and is protected by intellectual property laws. While you follow these terms, we give you a personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. These terms don't give you any other right to use our name, logo or materials.

If you send us feedback or ideas, we may use them without any obligation to you. If you believe something in the Service infringes your rights, please write to support@thepact.lol.

12.Third-party services

Some parts of the Service rely on other companies, such as Google (if you choose to sign in with Google), Apple and Google (for push notifications and app downloads), and your email provider. Your use of their services is governed by their own terms and privacy policies, and we're not responsible for them. Our Privacy Policy lists the providers we use.

13.Our mobile and desktop apps

Our iOS and Android apps display the Service from thepact.lol inside a native app, and our desktop app installs updates automatically. You need an internet connection for most features.

If you got the app from Apple's App Store

  • These terms are between you and us only, not with Apple Inc. ("Apple"). We, not Apple, are solely responsible for the app and its content.
  • Your licence to use the app is limited to using it on Apple-branded products you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
  • Apple has no obligation to provide any maintenance or support for the app.
  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty are our responsibility, to the extent they can't be disclaimed under these terms.
  • We, not Apple, are responsible for addressing any claims by you or any third party relating to the app or your possession and use of it, including product liability claims, claims that the app fails to conform to any applicable legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
  • If a third party claims that the app or your possession and use of it infringes their intellectual property rights, we, not Apple, are solely responsible for investigating, defending, settling and discharging that claim.
  • You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • You must comply with any applicable third-party terms (such as your mobile network's) when using the app.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and, once you accept them, Apple will have the right (and will be deemed to have accepted the right) to enforce them against you as a third-party beneficiary.
  • Questions, complaints or claims about the app should be sent to us at Level 1, Innovation One, DIFC, Dubai, United Arab Emirates, or support@thepact.lol.

If you got the app from Google Play

Your use of the app is also subject to the Google Play Terms of Service. Google is not a party to these terms and isn't responsible for the app or its content. If these terms and Google Play's terms conflict about your use of the app, Google Play's terms apply to the extent of the conflict.

14.Suspension, termination and deleting your account

  • You can stop at any time: leave your pact from Settings, and delete your account from Settings (Delete account) or by writing to support@thepact.lol. The Privacy Policy explains what's deleted and when.
  • We may suspend or close accounts: if you seriously or repeatedly break these terms, if we need to in order to protect other members or the Service, or if the law requires it. Where it's reasonable and lawful, we'll tell you why and give you a chance to respond, and we'll give you an opportunity to export your data first unless that would cause harm.
  • Inactive accounts: if an account hasn't been used for 24 months, we may close it after warning you by email at least 30 days beforehand.
  • What survives: sections that by their nature should continue after your account ends (including the health disclaimer, limitation of liability, indemnity and governing law) continue to apply.

15.Disclaimers

We provide the Service with reasonable care and skill. Apart from that, and to the extent the law allows, the Service is provided "as is" and "as available", and we don't make any other promises about it, including that it will meet your health goals or particular needs, that it will be uninterrupted or error-free, or that figures such as kept days, rings and summaries will be accurate (they are calculated from what members enter). Nothing in these terms affects your rights as a consumer that can't be excluded by law.

16.Limitation of liability

Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under the law that applies to you.

Subject to that, and to the extent the law allows:

  • we're not liable for losses that weren't reasonably foreseeable, or for indirect or consequential loss, loss of profit, revenue, business, goodwill or data (please keep your own export if your data matters to you);
  • we're not liable for anything another member says, shares or does, or for decisions you make about your diet, exercise, fasting or health;
  • we're not liable for delays or failures caused by events beyond our reasonable control;
  • because the Service is free, our total liability to you for all claims relating to the Service in any 12-month period is limited to the greater of USD 100 and the total amount you've paid us in that period.

17.Indemnity

If someone brings a claim against us because of content you shared, invitations you sent, or your serious breach of these terms or of the law, you agree to compensate us for the reasonable losses and costs (including reasonable legal fees) that result. We'll tell you promptly about any such claim and let you help defend it. This doesn't apply to the extent the claim was caused by us, and it doesn't take away any rights you have as a consumer.

18.Governing law and disputes

If you have a problem, please write to us first at support@thepact.lol; most things can be sorted out quickly.

These terms, and any dispute or claim arising out of or in connection with them or the Service (including non-contractual disputes), are governed by the laws of the Dubai International Financial Centre. The courts of the Dubai International Financial Centre (DIFC Courts) have exclusive jurisdiction to settle any such dispute.

If you use the Service as a consumer, you also keep the protection of any mandatory provisions of the law of the country where you live, and nothing in this section takes that away. Where your local law gives you the right to bring proceedings in the courts where you live, you may do so.

19.Changes to these terms

We may update these terms, for example to reflect new features or changes in the law. The date at the top shows when they were last changed. If a change materially affects you, we'll tell you by email or in the app at least 30 days before it takes effect, unless it's needed sooner for legal or security reasons. If you don't agree with the new terms, you can stop using the Service and delete your account before they take effect; if you keep using it, the new terms apply.

20.General

  • Notices: we'll send notices to the email address on your account or show them in the app. You can send notices to us at support@thepact.lol or by post to Level 1, Innovation One, DIFC, Dubai, United Arab Emirates.
  • Severability: if a court decides any part of these terms is invalid or unenforceable, the rest stays in force.
  • Entire agreement: these terms, together with the Privacy Policy, are the whole agreement between you and us about the Service and replace any earlier agreements about it.
  • No waiver: if we don't enforce a right straight away, we can still enforce it later.
  • Transfer: you can't transfer your rights under these terms to anyone else. We may transfer ours to another organisation that takes over the Service, and we'll tell you if that happens; your rights won't be reduced as a result.
  • No third-party rights: except as stated for Apple above, nobody else has rights under these terms.
  • Language: these terms are written in English. If we translate them, the English version applies where the law allows.
